Convert the capital of your Bulgarian company into euros

Your operative deadline may be earlier than 31 December 2026

The Registry Agency has converted the registered capital into euros, but this does not automatically update your company’s constitutional documents. Under Article 32, the updated deed of incorporation or company agreement must be presented with the first subsequent filing in the Bulgarian Commercial Register. Which date applies to your company?

  • An earlier Commercial Register filing comes first: submit the updated documents with it.
  • If the 2025 annual financial statements are the first filing, use their actual filing date.
  • The latest date for filing the 2025 annual financial statements is 30 September 2026.
  • 30 September is not a separate universal deadline for every company.
  • If there is no earlier filing, the general longstop is 31 December 2026.

The current fee is €60 for an EOOD and €80 for an OOD, VAT included. An enquiry containing the company’s UIC, sent by 23:59 on 31 August 2026, preserves that price and saves €20. Additional corporate changes or a non-standard structure are quoted separately after review.

What should an international owner of a Bulgarian company know?

The Bulgarian Registry Agency has converted the capital recorded in the Commercial Register. However, this did not automatically amend the details in your constitutional documents — the number and nominal value of the ownership interests in an OOD/EOOD or the shares in an AD/EAD.

When the conversion is made at the fixed rate of 1 EUR = 1.95583 BGN, rounding may produce small differences. They may appear insignificant at first, but if they are not reflected correctly in the documents, inconsistencies may arise between the capital, ownership interests, internal records and the Commercial Register.

Capital inconsistency

The capital in euros may not match the total nominal value of the ownership interests or shares.

Document discrepancies

The data in the Commercial Register may not match the deed of incorporation, company agreement or articles of association.

Problems with future transactions

Complications may arise during transfers of ownership interests, admission or departure of a member, banking procedures or checks.

The main objective is to state the capital and its allocation in euros in a way that is logically, legally and consistently reflected in the accounting records and documents.

Article 32 • Timing in practice

Which deadline applies to your Bulgarian company?

The general deadline for bringing the company’s documents into line is 31 December 2026. However, the updated deed of incorporation or company agreement must be presented together with the first subsequent application for registration, deletion or announcement in the Commercial Register. Your operative date may therefore be earlier.

Scenario 1

Another filing comes first

If you file a change of manager, address, shareholder or another circumstance before the annual financial statements, the updated documents must accompany that earlier application.

Scenario 2

The 2025 statements come first

If the 2025 annual financial statements are the first subsequent filing, submit the updated documents with them — on the actual filing date and no later than 30 September 2026.

Scenario 3

No earlier filing in 2026

If no earlier application is filed, complete the document alignment and present the updated act by the general longstop of 31 December 2026.

30 September is not a separate universal deadline. If the annual financial statements are filed on 20 August and are the first subsequent application, the operative date is 20 August. Companies incorporated after 1 January 2026 already state their capital and constitutional documents in euros from registration.

Why should an owner of a Bulgarian company not delay?

Your first subsequent Commercial Register application may trigger the filing requirement before 31 December. If the 2025 annual financial statements are that first application, the relevant date is the day on which they are actually filed — no later than 30 September 2026.
